The Service Provider, Edvance Software Inc., will host the Edvance Software System (ESS) and grant to the Client, solely for its own needs, a non-exclusive and non-transferable site license giving it the right to use ESS for a period beyond the October 31, 2016 expiry of their license.
As of December 5, 2016 there will be no support provided until the renewed license agreement is fully signed and in place.
The Client shall not reverse engineer, decompile, duplicate, sell, resell, or exploit all or any part of the Edvance Software System.
Unless a further relationship between the parties is agreed upon prior to the expiry of this extension, the Client’s entire data will be returned by the Service Provider.
The Service provider does not provide any express or implied warranty nor is he liable toward the Client for any fault or direct or indirect damage.
All ownership rights as well as Intellectual Property Rights, Titles and Interests in and to the Edvance Software System are and shall remain the exclusive property of the Service Provider.
